Welcome to IRAXIS. These Terms of Service ("Terms") govern your access to and use of the IRAXIS platform and services provided by Tharionyx Systems ("Tharionyx," "we," "us," or "our").

1. Acceptance of Terms

By accessing or using the IRAXIS platform ("Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

IRAXIS is an AI-powered business automation platform that provides:

  • Department-specific AI assistants and automation tools
  • Workflow orchestration and process automation
  • Business intelligence and analytics
  • Document processing and knowledge management
  • Integration with third-party systems

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Service.

4. Subscription and Payment

4.1 Subscription Plans

The Service is offered through various subscription plans as described on our Pricing page. By selecting a plan, you agree to pay the applicable fees.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable except as expressly set forth in our Refund Policy.

4.3 Payment Processing

Payments are processed by our third-party payment processor, Paddle. By making a purchase, you also agree to Paddle's terms of service.

5. AI Services and Limitations

5.1 Nature of AI Services

IMPORTANT: IRAXIS uses probabilistic machine learning systems. AI-generated outputs may be inaccurate, incomplete, or unsuitable for your specific needs.

5.2 No Professional Advice

The Service does not provide, and should not be construed as providing, legal, financial, medical, tax, or other professional advice. You are solely responsible for evaluating and validating any AI-generated outputs before reliance or use.

5.3 Human Oversight Required

You agree to maintain appropriate human oversight of AI-driven processes and decisions, particularly for matters affecting individuals' rights, employment, finances, or health.

5.4 No Guaranteed Outcomes

We make no guarantees regarding specific business outcomes, cost savings, efficiency improvements, or other results from use of the Service.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe intellectual property rights of others
  • Upload malicious code or attempt to breach security
  • Harass, abuse, or harm others
  • Generate illegal, harmful, or discriminatory content
  • Conduct surveillance without proper consent
  • Attempt to extract, reverse engineer, or reproduce AI models
  • Use outputs to train competing AI systems
  • Resell or sublicense the Service without authorization

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all software, AI models, algorithms, prompts, and content, is owned by Tharionyx and protected by intellectual property laws. You receive only the limited license rights expressly granted in these Terms.

7.2 Your Content

You retain ownership of content you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to use, process, and store that content solely to provide the Service.

7.3 AI Outputs

Subject to our retained rights in underlying systems, you own AI outputs generated specifically from Your Content and your use of the Service, provided you do not use such outputs to train competing AI systems.

8. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.1 Model Training

IRAXIS does not train foundation models on customer confidential data unless explicitly authorized via a signed Model Training Addendum.

9. Third-Party Services

The Service may integrate with third-party services. Your use of such services is subject to their respective terms and policies. We are not responsible for third-party services.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THARIONYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Tharionyx from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

14. Termination

14.1 By You

You may terminate your account at any time through your account settings. Upon termination, you may be entitled to a pro-rata refund as described in our Refund Policy.

14.2 By Us

We may suspend or terminate your access if you violate these Terms or for any other reason with notice as required by law.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration administered by JAMS.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
